2. Description of Services

Local Boost Labs builds AI-powered, human-reviewed websites for skilled-trade businesses such as remodelers, home builders, roofing/siding/window contractors, landscapers, solar installers, and HVAC companies, along with ongoing hosting and care. Our Services may include, but are not limited to:

• Custom website design and development (a one-time build)
• Website hosting, security, and SSL
• Monthly backups, software updates, and uptime monitoring
• Minor text and image edits and ongoing support
• Local search optimization
• Optional add-ons such as Google Business Profile optimization, local landing pages, and review generation

3. Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Have the legal authority to enter into binding contracts
• Be the owner or authorized representative of the business for which Services are requested
• Provide accurate and complete information when requested

4. Client Responsibilities

When engaging our Services, you agree to:

• Provide accurate, current, and complete information about your business
• Grant necessary access to your domain, existing website, and other relevant accounts as needed
• Respond to our communications and requests for information in a timely manner
• Review and approve content, designs, and other deliverables as requested
• Ensure you have the rights to any content, images, or materials you provide to us
• Comply with all applicable laws, regulations, and third-party terms of service

5. Pricing, Payment, and Cancellation

Our standard pricing is a $750 one-time fee to build your website and $99 per month for hosting and care. The monthly plan is billed on a month-to-month basis with no long-term contracts—you can cancel anytime. Specific details of your engagement may be outlined in a separate service agreement or proposal that describes:

• Scope of Services to be provided
• Pricing and payment terms
• Project timeline and milestones
• Deliverables and expectations

Payment terms, including amounts, due dates, and accepted payment methods, will be specified in your service agreement. Late or missed monthly payments may result in suspension of hosting and care Services. If you cancel the monthly plan, your hosting and care Services will end at the close of your current billing period.

6. Ownership of Your Website

You own your website's content and design. If you ever decide to leave, we will export your site's content and assets for you so you are never locked in. Ownership of deliverables created specifically for your business transfers to you upon full payment of the one-time build fee.

7. No Guarantee of Results

While we build fast, modern websites optimized for local search using industry best practices, we cannot and do not guarantee specific results, including:

• Specific search engine rankings or positions
• A particular number of leads, calls, or customers
• Specific timeframes for achieving results
• Immunity from search engine algorithm changes or penalties

Online visibility is influenced by many factors outside our control, including search engine algorithms, competitor actions, market conditions, and your business's overall online presence and reputation.

8. Intellectual Property

Our Intellectual Property

All content on our Website, including text, graphics, logos, images, and software, is the property of Local Boost Labs or our licensors and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without written permission.

Client Materials

You retain ownership of all materials, content, and intellectual property you provide to us for use in delivering Services. By providing such materials, you grant us a limited license to use, modify, and display them as necessary to perform our Services.

Work Product

Unless otherwise specified in your service agreement, the website, content, and deliverables created by Local Boost Labs specifically for your business become your property upon full payment of the one-time build fee.

9. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during our business relationship. This includes:

• Business strategies and marketing plans
• Financial information
• Customer data and lists
• Trade secrets and proprietary processes

We will not disclose your confidential information to third parties except as necessary to perform our Services or as required by law.

10. Limitation of Liability

To the maximum extent permitted by law:

• Local Boost Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Website or Services
• Our total liability for any claims arising from our Services shall not exceed the total amount paid by you for Services in the twelve (12) months preceding the claim
• We are not liable for any losses resulting from search engine algorithm changes, policy changes, or actions taken by third-party platforms

11. Indemnification

You agree to indemnify, defend, and hold harmless Local Boost Labs, its owners, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of any applicable laws or regulations
• Content or materials you provide to us
• Your business operations and practices

12. Term and Termination

These Terms remain in effect while you use our Website. For ongoing Services, the term and termination provisions will be specified in your service agreement. The monthly hosting and care plan is month-to-month and may be canceled by either party at any time.

We reserve the right to:

• Suspend or terminate your access to our Website for any violation of these Terms
• Terminate Services as specified in your service agreement
• Refuse service to anyone for any reason

13. Dispute Resolution

Any disputes arising from these Terms or our Services shall be:

• First addressed through good-faith negotiations between the parties

• Governed by the laws of the State of South Carolina
• Subject to the exclusive jurisdiction of courts located in Lancaster County, South Carolina
